These Terms of Service ("Terms") are a contract between you and Heros Consulting Inc. ("CleanOS," "we," "us") governing your use of the CleanOS platform and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
CleanOS provides software for commercial cleaning businesses, including bid and proposal tools, prospect discovery, email outreach, a deal pipeline, and card/ACH invoicing via Stripe. We may add, change, or remove features over time.
You must be at least 18 and able to form a binding contract, and you must use the Service for business purposes. You are responsible for your account credentials and all activity under your account. Keep your password secure and notify us of any unauthorized use.
Paid plans are billed in advance on a recurring basis (monthly unless stated otherwise) through Stripe. Fees are non-refundable except where required by law. We may change plan pricing with prior notice; changes apply to your next billing cycle. You can cancel anytime; cancellation takes effect at the end of the current period.
If you use invoicing, you onboard your own account with Stripe and agree to the Stripe Connected Account Agreement. Your customers' payments flow directly to your Stripe account; CleanOS never holds your funds. CleanOS charges a platform fee of [1]% per transaction, in addition to Stripe's processing fees (currently 2.9% + 30¢ per card transaction), for a typical all-in cost of [3.9]% + 30¢. You are responsible for your tax obligations on funds you collect.
You agree not to use the Service to:
We may suspend or terminate accounts that violate these rules or that harm the Service or other users (including auto-pausing senders with high bounce/complaint rates to protect deliverability).
You retain ownership of the content and data you put into the Service. You grant us a limited license to host and process it solely to provide the Service. You represent that you have the rights to all data you provide (including prospect and client information) and that your use complies with applicable law. You — not CleanOS — are responsible for the content of the emails, bids, proposals, and invoices you create and send.
The Service integrates with third parties (Stripe, Google, OpenAI, AudienceLab, and others). Your use of those integrations is also subject to their terms, and we are not responsible for their acts or omissions. Data accuracy from prospect-data providers is not guaranteed; verify before relying on it.
AI-generated text is a drafting aid and may contain errors. You are responsible for reviewing and approving any AI-assisted bid, proposal, price, or message before sending or relying on it.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will be accurate.
To the maximum extent permitted by law, CleanOS and Heros Consulting Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim.
You agree to indemnify and hold harmless CleanOS and Heros Consulting Inc. from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your outreach and data practices, or your violation of these Terms or applicable law.
You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, risk to the Service, or as required by law. On termination, your right to use the Service ends; data handling follows our Privacy Policy.
These Terms are governed by the laws of the State of [State], without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [County, State], and you consent to their jurisdiction.
We may update these Terms; we will post the new date above and, for material changes, notify you in-app or by email. Continued use after changes means you accept them.
